VIN312 Winery Text Messaging Terms and Conditions

These Terms and Conditions (“Terms”) are a legal agreement between VIN312 Winery (“VIN312 Winery,” “we,” “us,” “our”), located in Chicago, Illinois, and you, which describes the terms and conditions applicable to your use of our SMS messaging program (the “Platform”). By registering for or using our Platform, you agree to abide by all of the terms and conditions of these Terms between you and us. You agree to use our Platform in accordance with these Terms of Use, our Privacy Policy, and any additional rules that may apply to specific functionality of our Platform.
The Platform
VIN312 Winery operates the Platform that sends opted-in subscribers SMS messages to interact with VIN312 Winery by text message. Subscribers can expect to receive periodic conversational, informational, and promotional messages from VIN312 Winery.
You may have the opportunity to receive SMS or "text" messages, pre-recorded voice messages, or auto-dialed phone calls from us, our affiliates, subsidiaries, and related entities. Such messaging may be used to authenticate your identity or mobile device, as well as provide informational updates about services, events, promotions, or products you may have requested.
By providing your mobile device number to the Platform, you knowingly consent to such communications and agree that VIN312 Winery may use your mobile device number in accordance with these Terms. You represent that you have the authority to agree to receive text messages at the telephone number you provide, or from which you sent the text message request. No purchase is required to opt into this service, and you may opt out at any time.
You can cancel the SMS service at any time. Just text “STOP” to the number or short code that sent you the message. After you send the SMS message “STOP,” we will send you an SMS message confirming that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, simply sign up as you did the first time.

Carriers are not liable for delayed or undelivered messages.
Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text or data plan, contact your wireless provider.

By sending or receiving text messages via the Platform, you consent to such messages being recorded and stored. You acknowledge that such messages are the data of VIN312 Winery and may be viewable and processed by VIN312 Winery and by RedChirp, LLC (“RedChirp”), the provider of the Platform.
Content and User Submission
Except for public domain materials, all content (including, but not limited to, graphics, images, descriptions, and text) published on our Platform (“Content”) is protected by applicable intellectual property laws and is owned by VIN312 Winery or the credited provider. You must abide by all copyright notices and restrictions contained in any Content accessed through our Platform.
Access and Availability of Service and Links
Our Platform may contain links to related websites. We are not responsible for the availability or content of external resources. Inclusion of links does not constitute endorsement or affiliation. You should direct concerns regarding external websites to their respective customer service providers.
Registration and Security
If you register an account, you must provide accurate and updated information. You may not:
Impersonate another person; or
Use information without authorization.
Failure to comply may result in termination of your account.
You must notify us of any known or suspected unauthorized use of your account. You are responsible for all activity under your account. Fraudulent or illegal activity may result in termination and referral to law enforcement.
We may gather and use information about your usage in accordance with our Privacy Policy.
Fees and Payments
We reserve the right to charge fees for access to portions of the Platform. You will not be charged without prior agreement.
If fees are introduced, you will receive advance notice and the opportunity to cancel before charges apply. You are responsible for all applicable taxes.
All fees are non-refundable unless otherwise required by law.
Representations and Warranties
You represent that no materials submitted through your account will:
Infringe on third-party rights
Contain unlawful or defamatory material
The Platform is provided “as is.” We do not guarantee uninterrupted or error-free service. Use of the Platform is at your own risk.
Indemnification
You agree to indemnify, defend, and hold harmless VIN312 Winery and RedChirp from any claims arising out of your breach of these Terms or misuse of the Platform.
Limitation of Liability
Under no circumstances shall VIN312 Winery or RedChirp be liable for indirect, incidental, special, or consequential damages resulting from use of the Platform.
If you are dissatisfied with the Platform, your sole remedy is to discontinue use.
Software Licenses
You have no rights to proprietary software provided to access the Platform beyond limited use for that purpose. You may not copy, distribute, modify, reverse engineer, or create derivative works from such software.
Termination
VIN312 Winery and RedChirp may terminate access to the Platform at any time, with or without notice.
Changes to These Terms
VIN312 Winery may revise these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms. Material changes may also be communicated via email or website notice.
Governing Law
These Terms shall be governed by the laws of the State of Illinois.
You agree to submit to the exclusive jurisdiction and venue of:
The state courts located in Cook County, Illinois, and
The United States District Court for the Northern District of Illinois,
for any disputes arising out of or relating to these Terms or the Platform.
Survivability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
